Terms of Service for Short-Term Office Rentals

These Terms of Service (“Terms”) govern your use of our short-term office rental services (“Services”) provided by ProSpace Office Solutions (“ProSpace,” “we,” “us,” or “our”). By booking or using our office space (“Office Space”), you (“Client,” “you,” or “your”) agree to abide by these Terms.

1. Booking and Payment

  • Booking: All bookings must be made in advance and are subject to availability.

  • Payment: Payment is required in full at the time of booking unless otherwise agreed in writing. All fees and charges are due in US Dollars.

  • Accepted Payment Methods: We accept all major debit and credit cards (e.g., Visa, Mastercard, American Express, Discover).

Payment Terms

  • ProSpace reserves the right at any time to withhold any Services provided under this Agreement or to terminate the Agreement if fees are not paid by 5:00 p.m. EST the day they are due.

  • If payment for your account is not received from your card issuer, you agree to pay all amounts due, including late fees, upon demand.

  • You agree to pay all collection costs, including reasonable attorney fees, incurred by ProSpace in recovering amounts due, which will be added to the unpaid balance.

  • You agree to pay ProSpace 1.5% monthly interest, or the highest rate available under Florida Law on any overdue amounts.

  • ProSpace reserves the right to suspend or terminate your account without notice if card charges are rejected or your card issuer seeks the return of payments.

2. Cancellation and Refund Policy

  • Full Refund: Cancellations made seven (7) or more days before the booking start time will receive a full refund.

  • 25% Cancellation Fee: Cancellations made less than seven (7) days in advance may incur a 25% cancellation fee.

  • No Refund: No-shows and cancellations with less than forty-eight (48) hours’ notice are non-refundable.

  • Changes:

    • Changes received more than forty-eight (48) business hours prior to the original reservation start time will incur a $25.00 change fee.

    • A new reservation will be scheduled for the date, time, or room requested, subject to availability.

    • Any amount previously paid will be applied first to any change fees and then to the new reservation.

    • Any additional charges will be billed at the time of confirmation.

    • Changes made less than forty-eight (48) business hours before the reservation start time will be treated as a cancellation, and are subject to the standard cancellation policy.

  • Third-Party Supplier Costs: Costs incurred for third-party suppliers (e.g., catering, equipment rental) are non-refundable and must be paid in full, regardless of when a change or cancellation is received.

  • Non-ProSpace Bookings: Reservations not made directly through ProSpace are not guaranteed, and pricing or availability are not assured for any bookings made outside of ProSpace’s official booking channels.

  • Notice: Notice of cancellations or changes must be submitted in writing via email to admin@myprospace.com. Requests will be considered received once acknowledged by ProSpace during regular business hours (9:00 AM – 5:00 PM, Monday through Friday).

3. Use of Space

  • The Office Space and related Services provided by ProSpace are to be used solely for lawful and legitimate business purposes.

  • Prohibited Uses: The Client agrees not to use the Office Space or any Services for obscene, illegal, immoral, or defamatory purposes, or engage in activities that could bring ProSpace into disrepute.

  • The Client is responsible for ensuring that the Office Space is used in compliance with all applicable laws, regulations, and industry standards.

  • The Client agrees to maintain the cleanliness and condition of the Office Space during the rental period, and will leave the Office Space and common areas in at least as good of a condition as when first occupied by Client

  • Prohibited Activities: Smoking, crypto-currency mining, illegal substances, and disruptive behavior are strictly prohibited.

  • Use at Your Own Risk: The Client expressly agrees to use the facilities at their own risk. The facilities are provided on an "as is," "as available" basis.

4. Check-In/Check-Out

  • Check-In: Check-in begins at 8:00 AM on the day of your reservation

  • Check-Out: Clients are required to vacate the building by 8:00 PM, even if they have multiday rentals.

  • Additional Time: Additional time beyond the scheduled rental period will be billed at $100 per hour.

  • Special Requests: If you require access to the space outside the regular rental hours, please discuss this with us in advance to ensure availability and avoid additional charges

  • Overnight Storage: Clients may leave papers or equipment overnight; however, they are responsible for securing these items.

  • Unsecured Items: ProSpace is not responsible for unsecured items (i.e., not stored in a locked office or designated area).

5. Liability and Damages

  • Responsibility: The Client assumes full responsibility for any damage caused by its agents, employees, contractors, or invitees during the rental period. Client agrees to indemnify, defend, and hold harmless ProSpace from any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney’s fees, arising out of or in connection with the Client’s use of the Office Space and/or Services, except to the extent caused by ProSpace’s negligence or willful misconduct.

  • Damage to Property: You agree not to damage, deface, or alter the Office Space, furniture, furnishings, walls, ceilings, floors, equipment, or common areas, or make or allow any waste, obstruction, unlawful, improper, or offensive use of the Office Space or common area facilities. At the end of your reserved time, the Office Space must be in as good condition as when you first occupied it, normal wear and tear excepted. ProSpace may apply additional charges in the event of any damage to the Office Space, common areas, facilities or equipment.

  • Right to Access: ProSpace retains the right to enter your reserved meeting space for inspection, repairs, or alterations as necessary. to inspect it and make repairs or alterations as we reasonably deem necessary. You will pay ProSpace upon demand for any costs for repairs resulting from an act or omission by you or your employees, guests, and invitees .

6. Internet and Technology Use

  • Internet access is provided for standard business and legitimate use.

  • Access to Internet: ProSpace provides Wi-Fi access as part of the Services offered within the Office Space. The Wi-Fi network is shared among all users of Office Space and may be subject to slowdowns or interruptions based on demand.

  • Service Interruptions

    • ProSpace makes reasonable efforts to ensure the availability of all technology services; however, we are not responsible for interruptions or disruptions of internet or technology services due to factors beyond our control, including thirdparty service provider issues, equipment failure, or other unforeseeable circumstances.

    • In the event of a service disruption, ProSpace will take all reasonable efforts to restore services.

    • We make no guarantee regarding the availability, speed, or performance of the internet connection, which is outside of our direct control.

  • Acceptable Use:

    • The Client agrees to use the internet and related technology resources in a lawful and responsible manner.

    • You will not engage in any illegal, harmful, or disruptive activity via the internet or other technology provided, including, but not limited to, the transmission of viruses, malware, or unsolicited communications (e.g., spam).

    • Any use of the internet for the distribution, transmission, or receipt of defamatory, obscene, unlawful, or harassing content is strictly prohibited and may result in immediate termination of service.

    • ProSpace reserves the right to monitor internet usage to ensure compliance with these terms.

  • Technology Equipment:

    • ProSpace may provide certain technology and equipment, such as projectors, video conferencing tools, printers, and other devices, for Client use during the rental period. You agree to use these devices responsibly and in accordance with any instructions or guidelines provided by ProSpace.

    • Clients are responsible for any damage, loss, or misuse of ProSpace's technology equipment. In the event of damage or loss, the Client will be charged for repair or replacement at ProSpace’s discretion.

    • Personal Devices: Clients may use their own personal devices (e.g., laptops, tablets, smartphones) within the facilities, but ProSpace is not responsible for any damage to or loss of personal equipment brought onto the premises.

  • Security:

    • ProSpace implements security measures to safeguard the Wi-Fi network; however, we cannot guarantee the absolute security of the network. Clients are encouraged to take necessary precautions to secure their devices and sensitive information.

    • You are responsible for the confidentiality of your login credentials, passwords, and any other access information for any systems or software used during your rental period. You agree not to share these credentials with unauthorized individuals.

    • ProSpace is not liable for any data loss or unauthorized access to personal or confidential information that occurs while using the internet or other technological resources within the facilities.

  • Prohibited Uses: The following are prohibited used of technology services provided by ProSpace:

    • Using the facilities to host or distribute content or software that violates the intellectual property rights of others.

    • Unauthorized access to ProSpace’s computer systems, equipment, or networks.

    • Attempting to disable, impair, or overload any server or network used for the operation of the internet or technology services provided.

7. Privacy and Security

  • Confidentiality: ProSpace respects your privacy and strives to protect your business activities within our facilities. Our conference and meeting rooms are private spaces for your use, and we make every effort to maintain their confidentiality. However, ProSpace is not liable for the potential risk of conversations being overheard. Due to the nature of shared facilities, if people speak loudly, their discussions may be audible in nearby areas or rooms. It is your responsibility to ensure that any sensitive or confidential information is handled appropriately within these spaces.

  • Data Security:

    • While ProSpace takes reasonable steps to protect the security of our internal networks, Wi-Fi, and any technological equipment provided, you are responsible for securing your own data and devices.

    • ProSpace is not liable for any data breaches, theft, or unauthorized access to your personal or business information while using our facilities, including via internet services or shared equipment. We encourage you to take precautions such as encrypting sensitive data, using secure passwords, and ensuring that any physical documents or devices are securely stored.

  • Physical Security:

    • ProSpace provides locks, keycards, or other access controls for meeting rooms and workspaces, and we encourage clients to make use of these systems to secure their belongings.

    • ProSpace is not responsible for lost or stolen personal property, including items left within the facilities.

    • Clients agree to secure their personal property and any equipment left in meeting spaces, offices, or common areas. Items left in unsecured areas are not covered by ProSpace’s liability policies.

  • Surveillance:

    • ProSpace may have security cameras in common areas of the facility (such as hallways, lobbies, and entrances) to ensure the safety of all clients and staff. These cameras are for security purposes only and are not intended to monitor meeting or office spaces.

    • There are no cameras in private meeting rooms, offices, or other areas where privacy is expected. However, ProSpace does not guarantee absolute privacy, as external factors such as noise or accidental exposure may occur.

  • Access to Spaces:

    • Access to private rooms and areas is restricted to those authorized by the Client. ProSpace reserves the right to enter the reserved spaces for maintenance, inspections, or emergencies, with prior notice to the Client whenever possible.

8. Termination

  • ProSpace reserves the right to terminate access without refund if any Terms are violated.

  • Continued violations may result in a permanent ban from the facilities.

9. Amendments

10. Governing Law

  • These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

11. Force Majeure and Unforeseen Circumstances

Use of the facilities is subject to potential restrictions, modifications, or temporary closures due to circumstances beyond our control, including but not limited to government orders, inclement weather, or health concerns.

In such cases:

  • Rescheduling: Clients will be offered the option to reschedule their booking to a later available date at no additional cost.

  • Refunds: If rescheduling is not possible or desired, a full refund will be issued for any affected bookings

  • Liability: We are not responsible for any indirect losses, business interruptions, or costs incurred due to such closures or disruptions.

We will make reasonable efforts to communicate such events in advance and work with Clients to minimize inconvenience.

By using our services, you acknowledge that you have read, understood, and agree to these Terms of Service.
